Our Conditions ¹:	Carrier Agreement of Freight Services to Temando Pty Ltd and its Clients. -------------------------------------------------------------------------- This agreement is between Temando Pty Ltd, of PO BOX 599, Fortitude Valley and the Carrier accepting these conditions, of the address nominated above. Once accepted, this agreement will be ongoing unless a written cancelation of a carrier is received. The conditions in this agreement may change from time to time, however such changes will be communicated to the carrier. Any changes or amendments requested by the carrier must be in writing, and will not be deemed accepted until a written reply has been received from Temando Pty Ltd. Temando reserves the right to cancel this agreement at any time, with out notice or justification. Definitions of Parties and Key Terms ------------------------------------ Client – a company or individual who is using the Temando system for the sending of goods. Carrier a transport company who carriers the freight which is organised by the Temando system. Temando Pty Ltd – the Temando system, its employees and services it provides. Request – a form which collects information about freight, which is then used by the Temando system to get quotes from carriers. Quote – an active price for freight services relative to a request. Carrier Conditions ------------------- 1. Temando Pty Ltd will quote and book freight online, which will upon payment, will be communicated to the chosen carrier for the fulfillment of the service. 2. The Carrier agrees to enter and maintain there depot and routing information. 3. The Carrier agrees to quote on shipping requests from Temando’s Clients, and may chose to either manually quote or load there Automatic Pricing information based on their rates. The maintenance of these settings is the responsibility of the carrier, and the carrier will be legally bound to fulfill the service at this rate. 4. Once the freight booking supplied on behalf of the Client from Temando has been confirmed, the responsibility for the pick up, carrying of, and delivery of will be passed to the accepting carrier. 5. Temando reserves the right to withhold payment to a carrier until delivery of freight is confirmed, where the rating and reliability of a carrier is questionable. 6. Temando agrees to Pay Carriers based on their requested payment terms, excluding any delivery issues highlighted by either Carrier or Client, pending a due diligence investigation by Temando on behalf of the parties. 7. Temando will endeavor to arbitrate and resolves any issues that may arise between a Carrier and Client, despite Temando not having a legal responsibility. 8. The Carrier Agrees to accept both Temando Pty Ltd’s Critical Conditions, and Temando Pty Ltd’s Conditions of Use. Critical Conditions ------------------- 1. If freight is reweighed, and a discrepancy found between the weight indicated to Temando, and the actual weight of the freight, any additional charges incurred will be charged back to the customer, with Temando reserving the right not to send freight until outstanding moneys are paid. 2. If freight is re-measured, and a discrepancy found between the dimensions indicated to Temando, and the actual dimensions of the freight, any additional charges incurred will be charged back to the customer, with Temando reserving the right not to send freight until outstanding moneys are paid. 3. The freight transaction is deemed to be accepted once payment is confirmed, regardless of payment method (i.e. account), and after acceptance customers are responsible for having their freight ready at the date and time indicated. 4. If a transport carrier recharges or penalizes Temando for an additional pickup upon a failure for a customers to have the freight ready at the time indicated to Temando, these fees will be billed to the customer. 5. Temando is not liable for lost, stolen, damaged, wet, or wrongly delivered freight. 6. All customers are responsible for their own packaging, accurate dimensions, accurate weights, the point of origin for the shipment, the point of destination for shipment, whether the shipment will be insured and the amount of coverage, and any other special instructions. 7. All customers are responsible for the contents of the freight, and may not use the Temando system to send any item which is in any violation or conflict of respective origin and destination legislations. 8. Any Dangerous goods are the responsibility of the Transport Carrier. 9. Temando hold the right to charge any overdue accounts at the rate of 30% interest until accounts are paid and reconciled. 10. Should a transport carrier or customer file for bankruptcy or foreclosure, Temando is not liable for any monies outstanding or issues of non-delivery. 11. The use of the Temando system is subject to acceptance of Temando’s Terms and Conditions, and the acceptance of further Term’s and Conditions that each individual Transport Carrier may have. Temando Conditions of Use ------------------------- These conditions of use ("Conditions of Use") set out the conditions applicable to your use of, including your acquisition of products or services through, this website ("www.temando.com") by Temando Pty Ltd ABN 64 120 582 738 and its related bodies corporate ("Temando"). Temando may amend these Conditions of Use at any time by posting the amended terms on this Website which you acknowledge shall constitute sufficient notice to you thereof. These Conditions of Use were last amended on 02 September 2007. This agreement together with any additional terms, conditions, notices and disclaimers contained elsewhere on Temando form the conditions of supply of material on, use of and access to Temando.
